REGIMUL JURIDIC AL SOCIETĂȚILOR ÎN CONDIȚIILE NOULUI COD CIVIL

La 1 octombrie 2011 a intrat în vigoare Legea nr. 287/2009 privind Codul civil prin care s-a renunțat la teoria dualistă a dreptului privat (drept civil – drept comercial), iar noua viziune de unificare a dreptului privat a condus implicit la pierderea autonomiei dreptului comercial
Unificarea din punct de vedere normativ a dreptului privat a reaprins problematica autonomiei dreptului comercial1, subiect vechi în literatura juridică de specialitate2.
În acest context s-a renunţarea la teoria obiectivă centrată pe fapte de comerţ (art. 3 din Codul comercial din 1887) în favoarea teoriei subiective ce are ca punct de referinţă persoana, adică profesionistul, astfel că dispozițiile noului Cod civil se aplică și raporturilor dintre profesioniști, precum și raporturilor dintre aceștia și orice alte subiecte de drept civil (art. 3).
Leguitorul a mers și mai departe în încercarea de unificare a dreptului privat și ștergere din punct de vedere formal a urmelor dreptului commercial dispunându-se prin art. 18 pct. 31 din Legea nr. 76/2012 (de punere în aplicare a Codului de procedură civilă) înlocuirea sintagmei de ”societăți comerciale” cu cea de ”societăți” urmând ca toate societățile înregistrate în registrul comerțului să efectueze demersurile necesare înlocuirii în termen de 2 ani de la intrarea în vigoare a legii3.
În materia societățlior două sunt sursele normative: noul Cod civil și Legea nr. 31/1990 privind societățile.
În prezentul studiu ne-am propus doar să identificăm unele din cele mai importante dispoziții cuprinse în noul Cod civil (ce constituie dreptul comun în materia societăților), fără a contura regimul societăților din perspectiva Legii nr. 31/1990 (legea specială).
De menționat că Legea nr. 31/1990 reglementează amănunțit în cele 294 de articole regimul celor 5 forme de societăți (societatea în nume colectiv, societatea pe acțiuni, societatea cu răspundere limitată, societatea în comandită simplă și societatea în comandită pe acțiuni), precum și societatea europeană (art. 2702a-2702e).
În Codul civil regăsim dispoziții privitoare la:
persoana juridică (art. 197-251)
contractul de societate (art. 1881-1954) capitol în care sunt reglementate in extenso societatea simplă și asocierea în participație
Persoana juridică (Cartea I, Titlul IV art. 197-251)
Răspunderea asociaților
Art. 193 - ”Efectele personalității juridice” - articolul reglementează pe de o parte răspunderea juridică proprie a persoanei juridice, iar pe de altă parte inopozabilitatea personalității juridice.
Art. 193 alin. 1 prevede că persoana juridică ”răspunde pentru obligațiile asumate cu bunurile proprii, afară de cazul în care prin lege se dispune altfel”, dispoziție ce o regăsim și în Legea nr. 31/1990 la art. 3 alin. 1: obligațiile sociale sunt garantate cu patrimoniul social.
Art. 193 alin. 2 stabilește inopozabilitatea personalității juridice respectiv că ”nimeni nu poate invoca împotriva unei persoane de bună-credință calitatea de subiect de drept a unei persoane juridice dacă prin aceasta se urmărește ascunderea unei fraude, a unui abuz de drept sau a unei atingeri aduse ordinii publice”.
Cu alte cuvinte se instituie o răspundere directă a asociaților persoanei juridice care au săvârșit o fraudă ori un abuz de drept sau au adus o atingere ordinii publice față de o persoană de bună-credință fără a putea să se prevaleze de calitatea de subiect de drept distinctă a persoanei juridice și răspunderea proprie a acesteia.
Regăsim această dispoziție în art. 2371 alin. 3 şi 4 din Legea nr. 31/1990 care stabilește că asociatul care, în frauda creditorilor, abuzează de caracterul limitat al răspunderii sale şi de personalitatea juridică distinctă a societăţii răspunde nelimitat pentru obligaţiile neachitate ale societăţii dizolvate, respectiv lichidate.
În privința capacității anticipate de folosință leguitorul a exstins sfera acesteia în sensul că pe lângă situația dobândirii de drepturi și asumării de obligații în măsura în care acestea sunt necesare pentru ca persoana juridică să ia ființă în mod valabil (reglementată de art. 205 alin. 3) a fost reglementată și capacitatea oricărei persoane juridice de a primi liberalități de la data actului de înființare chiar dacă acestea nu sunt necesare pentru ca persoana juridică să ia ființă în mod legal.
Cu privire la funcționarea persoanelor juridice
De menționat că prin art. 213 au fost insituite obligațiile membrilor organelor de administrare stabilindu-se că ”trebuie să acționeze în interesul acesteia, cu prudența și diligența cerute unui bun proprietar”. O dispoziție similară regăsim în Legea nr. 31/1990 însă la art. 1441 fiind aplicabilă doar adminstratorilor de la societățile pe acțiuni, nu și la societățile cu răspundere limitată conform art. 197 alin. 4; în contextul în care Codul civil instituie această obligație pentru membri organelor de administrare ale persoanei juridice în general, apreciem că se aplică și societăților comerciale cu răspundere limitată.
Art. 214 reglementează separarea de patrimoniilor stabilind în mod imperativ că ”Membrii organelor de administrare au obligația să asigure și să mențină separația dintre patrimoniul persoanei juridice și propriul lor patrimoniu.
Ei nu pot folosi în profitul lor ori în interesul lor sau al unor terți, după caz, bunurile persoanei juridice ori informațiile pe care le obțin în virtutea funcției lor, afară de cazul în care au fost autorizați în acest scop de ncei ce i-au numit.”
Aceaste obligații le regăsim în L. 31/1990 la art. 2371 alin. 3 (răspunderea asociatului nelimitată) și art. 272 pct. 2 care incriminează fapta asociatului, administratorului, directorului care ”folosește cu rea-credință bunuri sau creditul de care se bucură societatea într-un scop contrar intereselor acesteia sau în folosul lui propriu ori pentru a favoriza o altă societate în care are interese direct sau indirect”
Privind anularea actelor emise de organele persoanei juridice (art. 216)
Art. 216 prevede că hotărârile și deciziile contrare legii, actului de constituire ori statutului pot fi atacate în justiție de oricare din membrii organelor de conducere sau administrare care nu au participat la deliberare ori care au votat împotrivă și au cerut să se insereze aceasta în procesul verbal de ședință în termen de 15 zile de la data când li s-a comunicat copia de pe hotărârea sau decizia respectivă
Această reglementare este în mare asemănătoare cu cea din art. 132 din L. 31/1990 privind societățile însă leguitorul de data aceasta în alin. 7 a prevăzut că acest art. 216 se aplică în măsura în care prin alte legi nu se dispune altfel.
Si sub acest aspect Legea societăților prevede expres față de textul din Codul civil că
administratorii nu pot ataca hotărârile prin care au fost revocați din funcție
acțiunea în anulare pentru motivele de nulitate relativă se formulează în termen de 15 zile de la publicarea în Monitorul Oficial al hotărârii adunării și în privinta motivelor de nulitate absolută dreptul la acțiune este imprescriptibil
Prezumția de nulitate relativă (art. 1252) astfel încât aceasta intervine în cazurile în care natura nulității nu este determinată ori nu reiese în chip neîndoielnic din lege.
Această dispoziție este importantă în materia nulității hotărârilor AGA având în vedere că majoritatea dispozițiilor din L 31/1990 nu conțin expres sancțiunea care intevine
Efect pozitiv restrângerea litigiilor în care se invoca nulitatea absolută...deci siguranța circuitului civil, hotărârile AGA nemaiputând fi atacate după perioade mari de timp
Efect negativ: se restrâng mijloacele de apărare ale acționarilor minoritari impunând o mai mare vigilență a acestora față de termenul de 15 zile pentru promovarea acțiunii
Art. 231 prevede mențiunile obligatorii pe care trebuie să le conțină toate documentele indiferent de formă care emană de la persoana juridică, obligație instituită și de Legea nr. 31/1990 în art. 74, diferența fiind aceea că în Codul civil este prevăzută posibilitatea persoane prejudiciate de a solicita daune interese în cazul lipsei mențiunilor
II. Contractul de societate (Cartea a V-a, Titlul IX, Capitolul VII; art. 1881- art. 1954) structurat pe trei secţiuni:
o primă secţiune „dispoziţii generale”
secţiunea a doua rezervată „societăţii simple”
a treia şi ultima secţiune „asocierea în participaţie”
În prima secţiune - „Dispoziţii generale” legiuitorul în cele 9 articole conturează câteva reguli aplicabile deopotrivă societăţilor cu personalitate juridică, cât şi celor fără personalitate juridică.
Astfel, legiuitorul înţeles să ofere ca şi în varianta Codului civil de la 1864 o definiţie chiar dintr-un început art. 1.881 stabilind că „prin contractul de societate două sau mai multe persoane se obligă reciproc să coopereze pentru desfăşurarea unei activităţi şi să contribuie la aceasta prin aporturi băneşti, în bunuri, în cunoştinţe specifice sau prestaţii, cu scopul de a împărţi beneficiile sau de a se folosi de economia ce ar putea rezulta”.
Este consacrat principiul libertăţii de asociere4, art. 1882 stabilind că poate fi asociat orice persoană fizică sau juridică, afară de cazul în care prin lege se dispune altfel, iar în art. 1889 alin. 1 se menţionează că asociaţii pot conveni constituirea unei societăţi, cu personalitate juridică, cu respectarea condiţiilor prevăzute de lege.
Exercitarea acestui drept în sensul constituirii de societăţi se realizează doar în limitele stabilite de lege, astfel că persoanele fizice şi juridice se pot asociat doar în una din formele de societate menţionate de lege5.
Deşi se menţionează expres în art. 1887 că acest capitol reprezintă dreptul comun în materia societăţilor, totuşi nu au fost reglementate expres şi alte tipuri de societăţi (cu excepţia celor două forme de societate: societatea simplă şi asocierea în participaţie).
De altfel, în alin. 2 al art. 1887 se precizează că legea poate reglementa diferite tipuri de societăţi în considerarea formei, naturii sau obiectului de activitate.
Formele societăţilor. S-a renunţat la dihotomia din Cod civil anume societăţi universale6 şi societăţi particulare (art. 1493), Noul Cod civil făcând o clasificare după criteriul formei.

Primele două tipuri de societăţi anume cele simple şi cele în participaţie nu au personalitate juridică art. 1892 alin. 1 7şi art. 1951 fiind exprese în acest sens.
Deşi se doreşte un inventar al formelor societare (este adevărat după criteriul formei) şi sunt reluate în enumerare chiar societăţile cu o mică amplitudine practică (societăţile în comandită), totuşi nu sunt menţionate toate societăţile cum ar fi societăţile europene reglementate expres de art. 2702a-2702e din Legea nr. 31/1990, însă este adevărat că enumerarea este una enunţiativă odată ce la lit. i) se face trimitere şi la alte tipuri reglementate de legi speciale.
Menţionarea printre formele de societăţi a societăţilor simple şi a societăţilor în participaţie (art. 1888 lit. a şi b) nu credem că este una potrivită, sporind confuzia odată ce acestea nu au personalitate juridică, astfel că nu găsim justificarea alăturării acestora celorlalte forme faţă de care folosirea noţiunii de forme societare este potrivită; societatea simplă şi asocierea în participaţie sunt şi rămân contracte (art. 1.892 alin. 1 şi art. 1.951), mai mult, în privinţa asocierii în participaţie s-ar înţelege citind art. 1.888 ca fiind corectă denumirea de societate în participaţie, deşi secţiunea a 3-a reglementează asocierea în participaţie. Considerăm că se impunea menţionarea acestor forme chiar la art. 1881 alin. 3 unde se precizează că societăţile se pot constitui cu sau fără personalitate juridică, structurându-se enumerarea pe acest criteriu.
În general, modul de structurare al acestui capitol nu este de natură a lămuri materia întrucât deşi denumirea sa este „Contractul de societate”, pe lângă instituţia configurată in extenso cea a societăţii simple, s-a încercat totodată şi stabilirea regimului societăţilor, astfel că potrivit ar fi fost ca denumirea capitolului să fie cu referire la societăţi („Despre societăţi”) şi să se evite mixajul nejustificat între contractul de societate şi societate; spre exemplu, art. 1930 stabileşte cazurile în care „contractul încetează şi societatea se dizolvă”, art. 1.931 purtând denumirea marginală „prelungirea tacită a contractului de societate” precizează că „societatea este tacit prelungită” etc.
Utilă ar fi fost şi reglementarea în prima secţiune a „dispoziţiilor generale” doar cu privire la societăţi (aspecte generale de configurare a acestora, clasificări, mod de dobândire a personalităţii, răspunderea de principiu etc.) şi separat societatea simplă (aşa cum de altfel a şi realizat-o) şi asocierea în participaţie.
Regimul aporturilor. În cazul unei societăţi cu personalitate juridică, aporturile intră în patrimoniul societăţii, iar în cazul unei societăţi fără personalitate juridică aporturile devin coproprietatea asociaţilor, cu excepţia cazului în care aceştia au convenit, în mod expres, că vor trece în folosinţa lor comună (art. 1883).
Ca noutate a fost clarificat regimul aporturilor soţilor, art. 1.882 alin 1 stabilind că un soţ nu poate deveni asociat prin aducerea unui aport de bunuri mobile decât cu consimţământul celuilalt soţ.
Regimul aporturilor bunurilor comune a fost reglementat expres în art. 349 NCC prevăzându-se sub sancţiunea nulităţii relative că niciunul dintre soţi nu poate singur, fără acordul celuilalt soţ, să dispună de bunurile comune ca aport la o societate sau pentru dobândirea de părţi sociale ori, după caz, de acţiuni. În cazul societăţilor comerciale ale căror acţiuni sunt tranzacţionate pe o piaţă reglementată, soţul care nu şi-a dat acordul la întrebuinţarea bunurilor comune nu poate pretinde decât daune-interese de la celălalt soţ, fără a fi afectate drepturile dobândite de terţi. În toate cazurile părţile sociale sau, după caz, acţiunile sunt bunuri comune. Cu toate acestea, soţul care a devenit asociat exercită singur toate drepturile ce decurg din această calitate.
Cu privire la a doua Secţiune - „Societatea simplă” reţinem că Noul Cod civil reglementează pe larg în art. 1890-1.948 regimul societăţii simple ce corespunde contractului de societate civilă în reglementarea Codului civil de la 1864.
Menţionăm ca şi noutăţi în viziunea noului legiuitor reglementarea regimul juridic al societăţile de fapt, înlăturând astfel diversele opinii doctrinare ce nu recunoşteau decât societăţile regulat sau legal constituite şi cele nelegal constituite sau neregulate8.
Cu privire la durata societăţii ca şi noutate faţă de actualul Cod civil menţionăm prelungirea tacită: „societatea este tacit prorogată atunci când, cu toate că durata sa a expirat, aceasta continuă să execute operaţiunile sale, iar asociaţii continuă să iniţieze operaţiuni ce intră în obiectul său şi să se comporte ca asociaţi. Prorogarea operează pe durată de un an, continuând din an în an, de la data expirării duratei, dacă sunt îndeplinite aceleaşi condiţii” (art. 1931).
Sunt definite noţiunile de asociaţii aparenţi (art. 1921) şi asociaţii oculţi (art. 1922), astfel că orice persoană care pretinde că este asociat sau creează terţilor deliberat o aparenţă convingătoare în acest sens răspunde faţă de terţii de bună-credinţă întocmai ca un asociat. Cu toate acestea, societatea nu va răspunde faţă de terţul indus în eroare decât dacă i-a dat motive suficiente pentru a fi considerat drept asociat sau, în cazul în care, cunoscând manoperele pretinsului asociat, nu ia măsurile rezonabile pentru a împiedica inducerea terţului în eroare.
Legiuitorul a înţeles prin art. 1910-1912 să reglementeze adunările asociaţilor, stabilind dreptul asociaţilor de a participa la luarea hotărârilor colective pe baza principiului majorităţii voturilor asociaţilor dacă prin contract sau lege nu se stabileşte altfel. Excepţie de la principiul majorităţii fac hotărârile ce au ca obiect modificarea contractului de societate sau numirea unui administrator unic când este necesar votul tuturor asociaţilor. (art. 1900 prevede că părţile de interes plătite sau vărsate în întregime dau drept de vot). Părţile au deplină libertate cu privire la modul de convocare şi desfăşurare a adunării asociaţilor.
Hotărârile luate pot fi atacate în termen de 15 zile termen ce curge de la data care a fost luată dacă a fost prezent ori de la data comunicării dacă a fost lipsă. Dacă hotărârea nu i-a fost comunicată termenul curge de la data la care a luat cunoştinţă de aceasta, dar nu mai târziu de un an de la data la care a fost luată hotărârea (1912).
Pierderea calităţii de asociat are loc conform art. 1925 (cazuri generale) are loc prin cesiunea părţilor, executare silită a acestora, moartea, falimentul, punerea sub interdicţie judecătorească, retragerea şi excluderea din societate.
Un aspect criticabil îl considerăm a fi dispoziţiile art. 1925 cu privire la pierderea calităţii de asociat ca urmare a executării silite asupra părţilor de interes. Considerăm că atât timp cât fundamentul societăţii simple îl constituie încrederea reciprocă, recunoscându-se pe deplin caracterul intuitu personae al acesteia implicit părţile sociale nu pot face obiectul unei executări silite. De altfel, în doctrină există pe această temă, în materia societăţilor, cu referire la art. 66 din Legea nr. 31/1990 privind societăţile, discuţii privind regimul diferit al părţilor sociale/părţi de interes/acţiuni. Din art. 66 rezultă că debitorii personali ai debitorului asociat pot popri drepturile aferente părţilor sociale deţinute şi doar acţionarilor li se pot sechestra şi vinde acţiunile. Diferenţa de regim juridic porneşte de la clasificarea societăţilor în societăţi de persoane versus societăţi de capitaluri, astfel că din această perspectivă considerăm că redactarea din art. 1925 este nepotrivită, în cauză drepturile creditorului trebuind să privească beneficiile asociatului, cu atât mai mult cu cât societatea simplă nu este persoană juridică.
C) Cu privire la a treia Secţiune – „Asocierea în participaţie”
Dintr-un început o primă remarcă vizează lipsa unui interes major al legiuitorului cu privire la acest contract, acesta beneficiind de doar 6 articole. Situaţia s-ar putea spune că este spre ”îmbunătăţire” dacă avem în vedere că în Cod comercial de la 1887 acest contract avea rezervate 5 articole.
Se menţine incertitudinea legiuitorului în privinţa naturii şi regimului juridic al acestui contract, concluzie ce se desprinde din modul global de reglementare. Din acest motiv asocierea în participaţie a fost considerată o formă improprie de societate comercială9. Nu împărtăşim acest punct de vedere10. Evident că cea mai bună abordare a asocierii în participaţie este sub aspect contractual, căci ea se mulţumeşte să fie doar un contract de societate. Asocierea în participaţie nu tinde să depăşească stadiul contractual pentru a devenit o instituţie. De altfel, folosirea denumirii de „asociere” trădează intenţia iniţială a legiuitorului de a le deosebi de societăţi.
Existenţa sau inexistenţa personalităţii juridice s-a făcut de legiuitor şi prin atribuirea unei denumiri diferite. Cum prin asociaţie înţelegem acum persoanele juridice fără scop patrimonial, s-a propus modificarea denumirii pentru a nu exista o confuzie între acestea, urmând ca asocierile în participaţie să fie denumite „societăţi în participaţie”11. Odată ce noul legiuitor stabileşte în art. 1951 că nu are personalitate juridică, astfel de opinii doctrinale nu se mai justifică.
Art. 1952 reglementează regimul juridic al bunurilor aduse ca aport stabilind ca principiu că asociaţii rămân proprietarii bunurilor puse la dispoziţia acesteia; ei pot conveni ca bunurile aduse sau cele obţinute să devină proprietate comună. Asociaţii pot stabili să treacă în tot sau în parte în proprietatea unuia dintre ei bunurile şi totodată redobândirea acestora la încetarea asocierii.
Privitor la răspundere asociaţilor s-a prevăzut expres că aceştia răspund în nume propriu faţă de terţi, iar asociaţii care acţionează în această calitate faţă de terţi sunt ţinuţi solidar.
Un aspect nou, rezultat jurisprudenţei ultimilor ani privitor la interpretarea contractele de asociere simulate prin art. 1953 alin. 5 se consideră nescrisă orice clauză care stabileşte un nivel minim garantat de beneficii. Cu privire la sancţiune (a considerării ca nescrisă a clauzelor) observăm o constanţă a noului legiuitor în îmbrăţişarea teoriei actelor inexistente odată ce această referire se face în mai multe situaţii: cu titlu de exemplu, art. 1910 alin. 5, 1918 alin 4, art. 1932 alin. 2 etc.
THE LEGAL STATUS OF COMPANIES UNDER THE NEW CIVIL CODE

On October 1st, 2011, Law no. 287/2009 on the Civil Code came into effect, by means of which the dualist theory of private law (civil law – commercial law) was abandoned, and the new vision of private law unification implicitly led to losing the autonomy of commercial law.
From a normative point of view, the unification of private law has brought again into attention the problem of the commercial law autonomy12, an old topic in legal literature13.
In this context, the objective theory focused on trading deeds was abandoned (art. 3 of the Commercial Code of 1887) for the subjective theory that has the person as reference point, meaning the professional, so that the provisions of the new Civil Code also apply to the relations between professionals, as well as to the relations between them and any other topics of civil law (art. 3).
The legislator went even further in the attempt to unify the private law and formally remove the traces of the commercial law, setting by art. 18 position 31 of Law no. 76/2012 (for implementing the Civil Procedure Code) the replacement of the phrase “trading companies” with that of “companies”, following that all companies registered with the Trade Register to conduct the steps necessary to the replacement within 2 years after the law comes into effect14.
In relation to the companies, the normative sources are two, as follows: the new Civil Code and Law no. 31/1990 regarding the companies.
In this study, we aim not only to identify some of the most important provisions of the new Civil Code (which is the common law regarding the companies), but also to outline the status of the companies in terms of Law no. 31/1990 (special law).
To be noted that Law no. 31/1990 thoroughly regulates in the 294 articles the status of the 5 types of companies (unlimited company, joint stock company, limited liability company, simple limited partnership and partnership limited by shares), as well as the European company (art. 2702a-2702e).
In the Civil Code, we may find provisions concerning:
The legal entity (art. 197-251)
The association contract (art. 1881-1954), a chapter where the simple company and partnership are regulated in extenso
The legal entity (Book I, Title IV, art. 197-251)
Liabilities of the Associates
Art. 193 – “The effects of the legal entity” – on the one hand, the article regulates the own legal liability of the legal entity, and on the other hand, the unenforceability of the legal entity.
Art. 193, par. 1 stipulates that the legal entity “is liable for the obligations assumed with their own property, unless the law stipulates otherwise”, a provision that is also found in Law no. 31/1990, in art. 3, par. 1: social obligations are guaranteed by social patrimony.
Art. 193, par. 2 sets forth the unenforceability of the legal personality, respectively that “no person may invoke to a bona-fide person the quality of legal subject of a legal entity, if it is thus aimed to hide a fraud, an abuse of law or a detriment to the public order”.
In other words, a direct liability is established, that of the legal entity’s associates who committed a fraud or an abuse of law or prejudiced the public order in relation to a good-faith individual, without being able to use the distinct quality of legal subject of the legal entity and its own liability.
One may fiind this provision in art. 2371 par. 3 and 4 of Law no. 31/1990 setting forth that the associate who, in the fraud of creditors, abuses the limited nature of their liability and the distinct legal entity of the company is unlimitedly responsible for the unpaid and liquidated obligations of the dissolved company.
Regarding the anticipated capacity of use, the legislator has extended its scope meaning that besides the situation of acquiring rights and assuming obligations to the extent where they are needed for the legal entity to validly emerge (regulated by art. 205, par. 3) the capacity of any legal entity has also been regulated, to receive liberalities since the date of the establishment document, even if they are not required for the legal entity to legally exist.
Regarding the operation of the legal entities
To be noted that by art. 213, the obligations of the administration bodies members have been set, establishing that “they must operate in its interest, with the prudence and diligence required from a good owner”. A similar provision may be found in Law no. 31/1990, but art. 1441 being applicable only to the administrators from the joint stock companies, and not to the limited liability companies, according to art. 197, par. 4; in the context where the Civil Code establishes this obligation for members of the administration bodies of the legal entity in general, we believe that it also applies to limited liability trading companies.
Art. 214 regulates the separation of patrimonies, imperatively establishing that “the members of the administration bodies have the obligation to ensure and maintain the separation between the patrimony of the legal entity and their own patrimony.
They cannot use for their interest or for the interest of third parties, as applicable, the assets of the legal entity or the information they acquire by virtue of their office, unless they have been authorised for this purpose by those who appointed them.
These obligations may be found in Law no. 31/1990, in art. 2371 par. 3 (unlimited liability of the associate) and art. 272 position 2 which incriminates the deed of the associate, administrator, manager who “uses in bad faith the assets or credit the company enjoys, for a purpose that is contrary to its interests or their own benefit or to favour another company where they are directly or indirectly interested in”.
Regarding the annulment of the documents issued by the bodies of the legal entity (art. 216)
Art. 216 stipulates that the decisions and resolutions contrary with the law, Articles of Incorporation or Articles of Association may be appealed by any of the members of the management or administration bodies who have not taken part in the assemblies or who have voted against and requested to insert this matter in the meeting minutes, within 15 days since the date when they were submitted the copy of that decision or resolution
This regulation is largely similar to that in art. 132 of Law no. 31/1990 regarding the companies, but this time, the legislator stipulated in par. 7 that this art. 216 applies to the extent where it is not otherwise provided by other laws.
In this respect, the Companies Law also expressly stipulates in relation to the text of the Civil Code that
The administrators cannot appeal against the decisions by means of which they were dismissed
The action for annulment on the grounds of relative nullity is formulated within 15 days since publishing the decision of assembly in the Official Gazette and regarding the reasons of absolute nullity, the right to action is imprescriptible
The presumption of relative nullity (art. 1252), so that it intervenes in the cases where the nature of the nullity is not determined or does not undoubtedly result from the law.
This provision is important in relation to the nullity of the decisions of the General Assembly of Shareholders, taking into account that most of the provisions of Law no. 31/1990 does not expressly include the sanction that intervenes
Positive effect: Restricting the litigations where absolute nullity is invoked, therefore the safety of the civil circuit, no longer being able to appeal against the decisions of the General Assembly of Shareholders after long periods of time.
Negative effect: The means of defence of the minority shareholders requiring their greater vigilance in relation to the deadline of 15 days to promote the action.
Art. 231 provides the mandatory mentions that all documents must contain, regardless of the form emanating from the legal entity, an obligation also established by Law no. 31/1990, in Art. 74, the difference being that it is stipulated in the Civil Code that prejudiced individuals have the possibility to request damages if the mentions are missing
II. The association contract (Book V, Title IX, Chapter VII; art. 1881 - art. 1954) structured in three sections:
A first section called “general provisions”
The second section on “simple companies”
The third and last section called “partnership”
In the first section – “General provisions”, in the 9 articles, the legislator outlines a few rules applicable both to the companies having legal personality and to those without legal personality.
Thus, just as with the variant of the Civil Code of 1864, the legislator has understood to provide a definition even from a beginning, art. 1,881 establishing that “by the association contract, two or more individuals mutually undertake to cooperate in order to perform an activity and contribute to it by money contributions, assets, specific knowledge and services, with the purpose to share the benefits or use the economy that could result”.
The principle of freedom of association is established 15, art. 1882 establishing that any natural person or legal entity can be an associate, unless the law stipulates otherwise, and in art. 1889, par. 1 it is stated that associates may agree upon the constitution of a company with legal personality, by complying with the requirements provided by law.
Exercising this right to the establishment of companies is done only within the limits set forth by law, so that the natural persons and legal entities can associate only in one of the company forms listed in the law16.
Although it is expressly stated in art. 1887 that this chapter is the common law regarding the companies, yet no other types of companies have been expressly regulated (except for those two forms of company: simple company and partnership).
Furthermore, par. 2 of art. 1887 stipulates that the law can cover different types of companies when considering the form, nature or object of activity.
The forms of companies. The dichotomy of the old Civil Code (1864) was given up, namely the universal companies17 and private companies (art. 1493), the New Civil Code making a classification according to the form criterion.

The first two types of companies, namely the simple and partnership ones have no legal personality, art. 1892, par. 1 18and art. 1951 being explicit in this regard.
Although an inventory of the corporate forms is desired (it is true by the form criterion) and the very companies with small practical amplitude (limited partnership) are repeated in the listing, however, not all companies are mentioned, such as the European companies expressly regulated by art. 2702a-2702e of Law no. 31/1990, it is however true that the listing is declarative once letter i) is a reference also to other types regulated by special laws.
We deem that mentioning the simple companies and partnership companies among the forms of companies (art. 1888 letters a) and b) is not an appropriate one, increasing the confusion once they have no legal personality, so that we cannot find the justification for their annexation to the other forms in relation to which the use of the concept of corporate forms is appropriate; the simple company and partnership are and remain contracts (art. 1,892, par. 1 and art. 1,951), moreover, regarding the partnership, by reading art. 1,888 one may understand that the name of partnership company is correct, although the third section regulates the partnership. We deem that it was required to mention these forms right in art. 1881, par. 3 where it is stipulated that the companies may be established with or without legal personality, structuring the listing based on this criterion.
Generally, the manner of structuring this chapter is not likely to clarify the matter, as although its name is “The association contract”, besides the institution configured in extensor, that of simple company, it has also been tried to establish the status of companies, so that it would have been appropriate that the title of the chapter would refer to companies (“About companies”) and avoid the unjustified mixture between the association contract and company; for example, art. 1930 establishes the cases where “the contract terminates and the company dissolves”, art. 1,931 having the marginal name “tacit renewal of the association contract” states that the “company is tacitly extended”, etc.
The regulation in the first section “of the general provision” would have been useful only regarding the companies (general aspects of their configuration, classifications, manner of acquiring the personality, the principle responsibility, etc.) and separately the simple company (as it actually realised it) and the partnership.
The status of contributions. In the case of a company with legal personality, the contributions enter the company’s patrimony, and in the case of a company without a legal personality, the contributions become the co-property of the associates, except for the case where they have expressly agreed they shall be transferred into their joint use (art. 1883).
As a novelty, the status of spouses’ contributions has been clarified, art. 1,882 establishing that a spouse can become an associate by contributing with movable assets only based on the consent of the other spouse.
The status of the contributions of joint assets has been expressly regulated in art. 349 NCC, stipulating under the sanction of relative nullity that none of the spouses can make use of the joint assets by themselves as contribution to a company or for acquiring shares or stock, as applicable, without the other spouse’s consent. In case of companies whose shares are traded on a regulated market, the spouse who did not consent on the use of joint assets can only claim damages from the other spouse without affecting the rights acquired by third parties. As applicable, in all cases, the shares or stock are joint assets. However, that spouse who has become an associate exercises by themselves all the rights resulting thereof.
Regarding the second Section – “Simple company”, we note that in art. 1890-1,948, the New Civil Code broadly regulates the status of the simple company corresponding to the civil association contract in regulating the Civil Code of 1864.
As novelties in the vision of the new legislator, we mention the regulation of the legal status of the actual companies, thus removing the various doctrinal opinions that only recognised the legally or regularly established companies and those illegally established or unregulated19.
Regarding the duration of the company as novelty in relation to the current Civil Code, we mention the tacit renewal: “the company is tacitly extended when, although its duration has expired, it continues to perform its operations, and the associates continue to initiate operations falling within its object and act as associates. The extension operates for one year, continuing from one year to another, from the date of expiration, if the same requirements are met" (art. 1931).
The concepts of apparent associates (art. 1921) and occult associates (art. 1922) are defined so that any individual pretending to be an associate or deliberately creates for third parties a convincing appearance in this regard is liable to good faith third parties, just like an associate. However, the company shall not be liable to the mislead third party, unless it has given sufficient reasons to be considered as associate, or, if knowing the manoeuvres of the alleged associate, it does not take the reasonable steps to prevent the misguidance of that third party.
By art. 1910-1912, the legislator has understood to regulate the associates' assemblies, establishing the associates' right to participate in making collective decisions based on the principle of majority of associates’ votes, if it is not otherwise stated by contract or law. An exception from the principle of majority is the decisions having as object the amendment of the association contract or appointment of a sole administrator when the vote of all associates is required (art. 1900 stipulates that the equity shares paid or transferred provide full voting rights). The parties have full freedom on how to call and conduct the associates’ assembly.
The decisions taken may be appealed within 15 days, a period which begins on the date when the decision was taken, if present or on the date of communication, if absent. If the decision was not communicated to them, the period begins on the date when they acknowledged it, but not later than one year as of the date when the decision was taken (1912).
The loss of the quality of associate occurs according to art. 1925 (general cases) by transfer of the shares, enforcement, death, bankruptcy, forced execution, withdrawal and exclusion of associates from the company.
We deem that a objectionable aspect would be the provisions of art. 1925 regarding the loss of the quality of associate following the enforcement on the equity shares. We believe that as long as the basis of the simple company is the mutual trust, by fully recognising their intuitu personae feature, implicitly the shares cannot be subject to an enforcement. Moreover, on this subject regarding the companies, with reference to art. 66 of Law no. 31/1990 regarding the companies, there are discussions on the different status of the shares/equity shares/stock. It results from art. 66 that the personal debtors of the associate debtor can seize the rights related to the shares held and only the stocks of the shareholders can be sequestrated and sold. The difference of legal status starts from the classification of the companies into partnerships versus capital companies, so that from this perspective, we believe that the phrasing of art. 1925 is inappropriate, in this case the creditor’s rights needing to be related to the associate’s benefits, particularly since the simple company is not a legal entity.
C) Regarding the third section – “Partnership”
The new Civil Code defines the Partnership contract as that agreement in which a certain person grants one or many other persons a certain share of the benefits and loses of one or many operations it is undergoing.
From the very beginning, a first remark concerns the legislator’s lack of a major interest regarding this contract, the latter benefiting from only 6 articles. One may say that the situation is directed towards “improvement”, if we take into account that this contract had 5 articles reserved in the Commercial Code of 1887.
The legislator’s uncertainty is maintained regarding the nature and legal status of this contract, a conclusion that is drawn from the global mode of regulation. For this reason, the partnership was considered to be an improper form of trading company20. We do not agree with this point of view21. Obviously, the best approach of the partnership is of contractual aspect, as it is content to be just a association contract. The partnership does not tend to exceed the contractual stage in order to become an institution. Moreover, the use of the term “association” betrays the legislator’s original intention to distinguish them from companies.
The existence or inexistence of the legal personality was done by the legislator and by assigning a different name. As by association we now understand the legal entities without patrimonial purpose, it has been suggested to change the name so there is no confusion between them, following that the partnerships would be called “venture companies”22. Once the new legislators establishes in art. 1951 that the partnership has no legal personality, such doctrinal opinions are not justified anymore.
Art. 1952 regulates the legal status of the assets brought as contribution, establishing as a principle that the associates remain the owners of the assets made available to it; they may agree that the assets brought or those acquired would become joint property. The associates may establish to fully or partly pass the assets into the property of one of them and to also reacquire them upon the cessation of the association.
Regarding the associates’ liability, it has been expressly stipulated they are liable in their own name in relation to third parties, and the associates operating as such are held severally liable.
A new aspect resulted from the jurisprudence of recent years regarding the interpretation of the association contracts simulated by art. 1953, par. 5, any clause establishing a minimum guaranteed level of benefits is considered to be unwritten. Regarding the sanction (of considering the clauses unwritten), we observe a constancy of the new legislator in embracing the theory of inexistent documents, once this reference is done in several situations: as an example, art. 1910, par. 5, 1918 par. 4, art. 1932, par. 2, etc.

Dreptul persoanelor fizice şi juridice de a se asocia şi a constitui societăţi comerciale este consacrat expres în art. 1 din Legea nr. 31/1990 şi este expresia principiului libertăţii de asociere reglementat şi în Constituţia României în art. 40 alin. (1). The right of natural persons and legal entities to associate and establish companies is expressly established in art. 1 of Law no. 31/1990 and is the expression of the principle of associating liberty, also regulated in the Constitution of Romania, in art. 40, par. (1). Art. 1, par. 1 of Law no. 31/1990 stipulates that “in order to perform trading actions, the natural persons and legal entities can associate and establish companies, by complying with the provisions of this law”.↩︎
